Studio Mahoney Model Release

This Model Release Agreement (“Agreement”) is entered into between Studio Mahoney (“Photographer”) and the undersigned participant (“Model”).

1. Grant of Rights

For valuable consideration, the receipt and sufficiency of which are acknowledged, the Model irrevocably grants Studio Mahoney, its legal representatives, licensees, successors, and assigns the unrestricted right to photograph, record, reproduce, publish, display, distribute, edit, crop, modify, and otherwise use the Model’s likeness, appearance, voice (if applicable), and name in photographs, video, or other media created during the session.

These rights are granted worldwide, in perpetuity, and in all media now known or later developed.

2. Permitted Uses

The Model authorizes Studio Mahoney to use the images for any lawful business or artistic purpose, including but not limited to:

  • Portfolio and website galleries
  • Social media content
  • Print and online advertising
  • Marketing campaigns
  • Studio displays
  • Editorial publication
  • Photography competitions
  • Exhibitions and galleries
  • Educational presentations and workshops
  • Promotional materials
  • Books, magazines, brochures, and printed publications
  • Licensing opportunities
  • AI-assisted editing, restoration, enhancement, and production workflows, provided the images are not used to train third-party generative AI models without separate consent.

The Model understands that images may be used individually or in combination with other photographs, graphics, text, or designs.

All photographs remain the exclusive intellectual property and copyrighted work of Studio Mahoney.

Nothing in this Agreement transfers ownership of the images or copyright to the Model.

4. Model License

Studio Mahoney grants the Model a non-exclusive, non-transferable license to use the delivered edited photographs for personal purposes, including:

  • Personal social media
  • Personal websites
  • Personal portfolios
  • Personal prints purchased through Studio Mahoney

The Model may not:

  • Sell or license the photographs.
  • Submit them for stock photography.
  • Use them in advertising, business branding, paid promotions, or commercial publications.
  • Alter the photographs through filters, AI editing, excessive retouching, or other modifications without written permission.

RAW files and unedited images will not be provided.

5. Credit

When publishing or sharing photographs online, the Model agrees to provide reasonable credit to Studio Mahoney by:

  • Tagging Studio Mahoney on social media platforms whenever tagging is available.
  • Including a link to https://studiomahoney.com when publishing on websites, blogs, or online portfolios.

Failure to provide credit does not terminate this Agreement but may affect future collaboration opportunities.

6. Compensation

The Model acknowledges that participation in this collaboration constitutes full consideration for this Agreement.

No additional compensation, royalties, licensing fees, or future payments shall be owed by Studio Mahoney for any authorized use of the photographs.

7. No Approval Rights

The Model waives any right to inspect, approve, or control the finished photographs or any subsequent use, publication, layout, advertising copy, or promotional materials in which the photographs appear.

8. Release of Liability

The Model releases and forever discharges Studio Mahoney and its representatives from any claims arising out of the creation or authorized use of the photographs, including claims for libel, invasion of privacy, right of publicity, emotional distress, or alteration of the images.

9. Age of Majority

The Model certifies that they are at least eighteen (18) years of age and legally competent to execute this Agreement.

If the Model is under eighteen (18), this Agreement must be signed by a parent or legal guardian.

10. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Minnesota, without regard to conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions relating to the subject matter herein. Any amendments must be made in writing and signed by both parties.
